Welcome to Teal Owners Club

To assist you if you are thinking of joining us, here is a copy of the Constitution.

Constitution of the Teal Owners Club, as at November 2022

 

Name.

 The name is “The Teal Owners Club”, hereinafter referred to as ‘The Club’ or ‘T.O.C.’.

 

Objects

To enhance the enjoyment of owning and using a Teal car, by way of activities, car based or otherwise, organised by The Club, or by individuals.

To provide a degree of, advisory only,  Technical and Engineering support to the Members.

 

Membership.

Open to any person who has applied and paid the current subscription.  The owning of a Teal is not essential. It is enough to have  an interest in the marque, and all similar replicas are welcome.

Membership is discretionary, and may be terminated by the Committee if they form a unanimous view that the person is not suitable for Membership.

 

 

Management

The business of The Club shall be carried on by a Committee to be elected annually at an Annual General Meeting, and consisting of the officers as defined below, who will serve for no more than 12 months or until the next Annual General Meeting, at which time they may offer themselves for re-election. The Committee must, in the event of a vacancy before the Annual General Meeting, attempt to co-opt a Member to fill the Office for no more than 12 months.

 

 

Chairman

In overall control of the Club and having a casting vote in all meetings.

 

 

General Secretary

Responsible for the day-to-day running of The Club, for calling Committee meetings, for recording decisions taken in such meetings, together with overall administration. For preparing and distributing an Agenda for and calling, at no less than 4 weeks notice,  Annual General Meetings.  Such Agenda will contain any items proposed and seconded by members, in writing.

 

 

Treasurer

Responsible for financial control of club funds, for producing and circulating annual accounts at least 28 days before the Annual General Meeting, or if required by the Committee, for making authorised payments, and for maintaining a club bank account.

All cheques or payments made on behalf of the Club, must be authorised by Treasurer, together with either the Chairman or the General Secretary.  No Officer or Committee Member may incur a financial obligation above £50.00 without the approval of the Treasurer or Chairman.

The Treasurer will, in conjunction with the Committee, put forward a suggested subscription figure, which must be voted on at the following AGM.

The club year shall run from 1st January to 31 December of each year.

 

 

Membership Secretary

Responsible for

Maintaining a list of current members.

In support of the Treasurer, encouraging payment of subscriptions when due.

Developing ways of increasing Membership.

Encouraging Member-to-Member communication and Club activities.

 

 

Additionally, the Committee shall appoint a Technical Support Officer to assist in dealing with Members’ problems in building, owning and running a Teal Car, to include keeping the Membership informed on regulatory and other changes notified by the Federation of British Historic Vehicle Clubs, and any other source.

 

Additionally, the Committee shall appoint an Editor and a sub-Editor for the TealSpiel magazine, which will be produced at least three times per year if possible.

 The sub-Editor will be responsible for the collection and co-ordination of the material, and submitting it to the Editor.

The Editor will be responsible for final preparation of the material to submit it for printing.

 

Annual General Meetings

There shall be an AGM every year,

To receive and approve Minutes of the previous Annual General Meeting.

To receive and approve accounts from the Treasurer.

To receive an account of the Membership numbers from the Membership Secretary,

To fix the subscription for the following year, which will be 12 months beginning January 1st.

To elect Members of the Committee.

To consider any other relevant business not included in the Agenda . Decisions arising from such relevant business shall be advisory only, because the Membership will not have been notified.  

 

Conduct of the Annual General Meeting.

The method of voting shall be at the discretion of the Chairman,  normally by a simple show of hands, except for changes to the Constitution which shall require a two thirds majority of those present and voting.  In the case of more than one person standing for election to the same Office, confidential ballot papers shall be distributed by the General Secretary at the AGM. Only Members shall be entitled to vote. To be considered for Election, a candidate must be proposed and seconded, before the meeting.

 

Extraordinary General Meetings.

Must be called withing 30 days of receipt of  a written request to the General Secretary or Chairman, if supported by 10% of the Members.  The request must state the items to be considered, details must be circulated to the Membership.

May be called by the Committee, deciding on a simple majority.

Such Meetings must be called by a means of which a record can be kept.

 

Quora

At Annual General Meetings there must be 10% of the Membership present, failing which no business may be conducted.

At meetings of the Committee there must be a minimum of three present, failing which no business may be conducted.

 

Changes to this Constitution.

Any proposal to change the Constitution must be made in writing and supported by two Members eligible to vote at an Annual General Meeting.  The proposal must be submitted not less than 14 days before the next Annual General Meeting,  to the General Secretary, who must submit the proposal to the Membership with 7 days notice to allow time for amendments.

It is the personal responsibility of every Member to ensure that any vehicle used at a T.O.C. activity is fully insured, has an MOT certificate (if appropriate), and has any other statutory

documentation up to date.

 

Disclaimer.

The Club is not responsible for any injury or loss of property sustained by any person while watching or taking part in activities arranged by the Club, its Officers, Committee Members, or volunteers.  Members are expected to behave in a reasonable manner at all times, and to have regard for their own safety and that of others.

 

Dissolution.pp

The Club is a non-profit making organisation.  On the winding -up or dissolution of the Club, any surpluses, assets and profits will be given to other non-profit making bodies, to be decided by  a simple majority of the Committee .

 

 

Data Protection Statement.   Personal identifying details of all Members may be held on a computer for the purposes of administration and mailing. Joining or rejoining the Club constitutes acceptance that this will take place.  Members who leave the Club may write to the Membership Secretary to ask for their personal identifying information to be deleted, and this will be done within the current Membership year.
